1. The agreement
These Terms of Service (“Terms”) govern access to Bitsbase websites, AI teammates (“Bits”), Studio, workspaces, templates (“Builds”), supported integrations and related services (together, the “Services”). They are an agreement between you and Mochi Platform, Inc., a Delaware corporation doing business as Bitsbase (“Bitsbase,” “we,” “us,” or “our”).
By affirmatively accepting these Terms, creating an account through a flow that presents them, or ordering Services under them, you agree to be bound. If you act for an organization, you represent that you have authority to bind it, and “you” includes that organization where appropriate. Do not create an organization account on another entity’s behalf without that authority.
Our Privacy Policy explains personal-information handling. A signed order form or enterprise agreement governs its expressly identified subject matter if it conflicts with these Terms. A valid data-processing agreement governs covered personal-data processing. Mandatory law controls in all cases. A marketing example is not an order form or a guarantee of a particular result.
2. Eligibility and your account
You must be at least 13 and meet any higher minimum age required by applicable law. If you are below the age of legal majority, a parent or legal guardian must review and agree to these Terms on your behalf and supervise your use. Paid subscriptions, purchases, business commitments and connected payment accounts must be authorized by a legally competent adult or authorized organization representative.
Provide accurate account information and keep it current. Protect the email account or identity provider used to sign in, your devices and your authorized connections. You are responsible for your authorized users, instructions and the permissions you grant, subject to applicable law. Tell us promptly at hello@bitsbase.com if you suspect unauthorized access. You are not responsible under these Terms for activity to the extent caused by our breach of our obligations or other matters for which the law makes us responsible.
You may not use the Services where prohibited by law, applicable sanctions or export restrictions. Feature availability may vary by account, plan, location and connected provider.
3. What Bitsbase provides
Bits are software agents that can prepare work and perform supported actions using the context and tools made available to them. Studio helps generate and modify code, apps, websites and tools. Workspaces support collaboration between people and Bits. Builds offer reusable starting points.
Descriptions such as “teammates,” “own a job” and “run your business” describe software functionality. Bits are not employees, licensed professionals or legal persons. They do not replace your judgment or create a general authority to commit you to contracts. The scope of any action is limited by the instructions, permissions and approvals applicable to it.
We may improve or change the Services, but must honor commitments that apply to an existing paid term and mandatory consumer rights. Product tours and example screens may be illustrative rather than live transactions. Do not purchase based only on a future feature or an illustrative result.
4. Connected tools and messaging
When you connect an account or service, you authorize access and use necessary to perform the supported tasks you request, within the granted permissions. You must have the rights to connect that account, use its data and authorize actions. Review the requested scope and whether other workspace members can use the connection.
Supported channels may include Bitsbase, Slack, Microsoft Teams, iMessage and WhatsApp. Connected tools and channels are operated by third parties. Their terms, privacy policies, permissions, availability and charges also apply. Bitsbase does not guarantee that every action supported by an external service is available through our integration.
You can remove a connection or revoke authorization through the relevant provider. Revocation prevents future authorized access to the extent supported by the applicable mechanism, but does not undo completed actions or necessarily erase imported content. See the Privacy Policy for deletion rights and provider-specific requirements.
If you use a feature that accesses YouTube API Services, you also agree to the YouTube Terms of Service. Google-related use is subject to the Google API and Workspace requirements described in our Privacy Policy. You must follow the anti-spam, access and automation restrictions of each connected service; having access to a tool is not permission to disregard them.
5. Actions, approvals and routines
Chat actions. For supported chat actions that send, post or change information on your behalf, Bitsbase presents the proposed action for your approval before execution. Read the proposed destination, content, account, amount and other material details. Reading authorized data does not require a separate approval for every retrieval.
Approved routines and apps. When you explicitly enable an app or routine, your setup approval may authorize repeated actions within the disclosed scope without a new prompt for each run. Review the trigger, connected accounts, permitted actions, recipients and budgets before enabling it. A material expansion of that authority requires new authorization. Merely creating a Bitsbase account does not authorize arbitrary purchases or disclosures.
You may pause a routine or revoke access. Cancellation cannot necessarily stop an action already submitted to an external service. Monitor the work, review important results and use the available controls. A broad prompt such as “handle everything” does not override a required approval or a tool’s permissions.
We do not treat your review or approval as a waiver of rights when the Services act outside the scope actually authorized or fail to meet an obligation that cannot lawfully be excluded. Neither these Terms nor an AI-generated message can create an undisclosed charge authorization.
6. Your inputs, outputs and code
“Input” means content, data, instructions and other material you provide or authorize us to retrieve. “Output” means generated content, code and other results produced for you. Input, Output and saved task context are referred to as “Customer Content.” You retain your rights in Input. As between you and Bitsbase, and to the extent permitted by law, you own Output; we assign to you any rights we may have in that Output, excluding the pre-existing platform, templates, tools and third-party material described below.
You grant us a limited, nonexclusive license to access, host, process, reproduce, modify and transmit Input and Output only as necessary to provide, secure, maintain and support the Services, execute your instructions, and meet applicable legal obligations. This license does not permit training AI models on Customer Content or using it to advertise Bitsbase or unrelated third-party products. Preparing your own marketing at your direction remains part of providing the Services. Publishing or sharing authorizes delivery to the audience you select.
You must have the rights and lawful basis needed for your Input and intended use of Output, including required permissions for client files, personal information, recordings, brands and copyrighted work. Output may be inaccurate, nonunique or similar to material generated for others. We do not guarantee that all Output is copyrightable, exclusive or free of third-party claims. Check it before relying on or distributing it.
Bitsbase and its licensors retain the Services, underlying models and technology, trademarks and pre-existing materials. When a Bitsbase-supplied Build or component is included in your project, we grant you a nonexclusive, worldwide, royalty-free license to use, modify, publish and export it as part of your project, including after your subscription ends, unless a clearly presented separate license applies. This does not transfer ownership of the template library or allow resale of an unmodified library as a competing template product. Third-party and open-source components remain subject to their own licenses, notices and conditions.
Exporting code does not export a license to Bitsbase’s hosted runtime, third-party accounts or proprietary platform. Running an exported project elsewhere may require configuration, dependencies and separate services. Your rights in your own content and generated project do not end merely because a subscription ends.
7. AI limitations and appropriate review
AI can make mistakes, invent information, misunderstand instructions, reproduce bias, generate insecure code or omit important context. Verify information and test code, access rules and integrations before using them in production. Review recipients and the content of messages before approving them.
The Services do not provide professional legal, medical, tax, investment or other regulated advice. They are not for emergencies or safety-critical control. Do not use AI output as the sole basis for decisions with significant effects on a person, such as employment, lending, housing, insurance, education eligibility or medical treatment. You must provide the legally required human oversight, notices, permissions and safeguards for your intended use.
An app, report, template or automated review is not a certification that your product meets a law, accessibility standard, security standard or professional requirement. These limitations do not exclude our own obligations under applicable law or an express agreement.
8. Workspaces, organizations and client information
Workspace owners and authorized administrators manage membership, roles, connections and settings to the extent supported by their plan. Keep those permissions current when people change roles or leave. Make your organization’s policies clear to users and obtain authority before importing information from another business or client.
Agency Bits are tools for the agency’s staff. The agency remains responsible for its client relationships, delivery, confidentiality commitments and decisions about what to share externally. Client-specific work must be kept within the authorized account or project scope. These Terms do not authorize cross-client disclosure or allow an agency to use confidential client data for unrelated purposes.
Personal information should not be placed in an employer’s workspace unless that use is intended and authorized. Access to organization-controlled data and continued availability of a workspace may depend on the organization rather than an individual member.
9. Apps, websites and other products you publish
You operate and are responsible for the products you create or publish, including their content, access settings, domain names, audience, offers, customer service and legal compliance. Supply an appropriate privacy notice, customer terms, contact method and any required cookie or other consent controls. Bitsbase’s own Privacy Policy does not automatically serve as the privacy notice for your customers.
Before publishing, review authentication, database access, credentials, dependencies, third-party services and any findings from available checks. Maintain the app after publication. Do not expose secrets in browser code or publish private data. Security tools and templates do not guarantee that an app is free of vulnerabilities.
You must have permission to use and connect a domain. Registration, renewal, hosting and third-party charges may be separate. A custom-domain feature does not mean the domain itself is included at no cost.
For courses, communities, newsletters, memberships, bookings, paid messages, live calls and other offers, you must accurately describe what customers receive and the applicable price, renewal, cancellation and refund terms. Obtain legally required permission before recording or processing other people’s communications. Do not claim that Bitsbase endorses your offer or provides a professional service that you are selling.
Do not use the Services to operate child-directed products or process regulated children’s data, protected health information subject to HIPAA, or other specially regulated records unless we have expressly agreed in writing and the required safeguards and agreements are in place. An ordinary account is not a business associate agreement or an approval of a regulated use.
10. Payments from your customers and the 0% revenue share
Under the standard Studio offering, Bitsbase takes 0% of the revenue from the products and services you sell through your app. This does not waive workspace subscriptions, AI usage, hosting, domains, taxes or fees charged by payment processors and other external services.
When you enable supported Stripe payments, your customers pay through your own connected Stripe account. You, not Bitsbase, are the seller and merchant of record for those sales. You are responsible for fulfilling the offer, pricing disclosures, taxes, refunds, chargebacks, disputes and your payment-provider obligations. Bitsbase is not a party to the sale merely because it provides the software.
Do not represent that a transaction succeeded solely because a Bit says it did. Confirm the payment or booking through the relevant service. These Terms do not authorize Bitsbase to hold customer funds or provide escrow or money-transmission services. Any materially different payment arrangement would require separate terms before use.
11. Plans, AI credits and separate costs
Your checkout or order form identifies the plan, billing interval, included usage, price and applicable taxes before you commit. Standard workspace subscriptions are per workspace rather than per human seat. Capacity, concurrent jobs, storage and other limits depend on the selected plan.
AI credits measure use by Bits and Studio, not a guaranteed number of finished jobs, messages or apps. Usage varies with models, context, tools and processing steps. Human-to-human messages, manual review and merely reading saved work do not use AI credits; asking a Bit to revise or act starts AI work that can consume credits.
Under the current standard credit structure, annual plans receive monthly credit grants rather than the entire year’s allowance at once. Eligible unused paid-plan credits roll over for one month. Purchased top-ups are one-time purchases, expire 12 months after purchase and do not renew automatically. The earliest-expiring credits are used first. Any exceptions required by law apply. Credits have no cash value and are not transferable or redeemable for cash except where legally required.
AI work pauses at its applicable credit or authorized budget limit. Approving a higher limit or buying more credits is a separate decision. A run estimate is not a guarantee that an arbitrary outcome will be completed within that estimate. We do not authorize automatic paid top-ups merely because you assign more work.
Published-app hosting, production databases, storage, traffic, runtime, AI called by a published app’s users, domains, external subscriptions, carrier fees and purchases arranged through a Bit can be separate charges. Any charge billed by Bitsbase must be disclosed and authorized before it is enabled. Existing charges you owe an external provider remain governed by your agreement with that provider.
The purchase terms identify how remaining credits are treated if you downgrade, cancel or close your account. We will not impose an undisclosed expiry or forfeiture on an existing purchase. Pricing changes apply prospectively with the notice and consent required by law; they do not retroactively reprice completed usage.
12. Renewals, cancellation, refunds and free access
Recurring subscriptions renew automatically for the billing period you select unless you cancel renewal before the next charge. Before enrollment, we disclose the amount or method of calculating it, charge frequency, initial term, renewal terms and cancellation method, and obtain the required affirmative consent. We provide an acknowledgment and any legally required reminders or change notices.
You may cancel renewal at any time through the billing settings associated with your purchase. For subscriptions started online, cancellation is available online without steps that obstruct or delay the request. If you cannot access the cancellation controls, email hello@bitsbase.com with the subject “Cancel subscription,” using your account email where possible. We will process the request without requiring a retention call. Cancellation stops future renewals; subscribed access normally continues until the end of the current paid billing period unless a lawful suspension or termination applies.
Except where law, your checkout or a separate agreement provides otherwise, payments are not prorated or refunded merely because you stop using the Services or cancel partway through a paid period. This does not limit statutory refund, cooling-off, conformity or other consumer remedies, refunds for unauthorized or erroneous charges, or the convenience-termination refund described below.
A free plan or free early-access invitation does not automatically become a paid subscription. A payment method and express agreement to disclosed paid terms are required before paid enrollment. Trial offers that convert to paid access must clearly state the end date, charges and cancellation method and obtain the required consent.
Canceling Bitsbase does not automatically cancel a domain, merchant subscription, booking or other service billed directly by another provider. Conversely, disconnecting an integration or deleting a chat does not cancel your Bitsbase subscription.
13. Early access and service changes
An access request is not an account activation, a reservation of capacity or a commitment to a specific invitation date. Early-access features may change, have limited support, contain defects or be withdrawn. Keep appropriate copies of important work and avoid relying on a beta feature as the only system for critical obligations.
We will identify applicable early-access limits and charges before use. “Free early access” does not mean all future features, hosting or external costs will remain free. We will not charge you for a paid conversion without the required disclosure and authorization.
We may change or discontinue features for legitimate operational, legal, security or product reasons. When a change materially reduces a paid service during its committed term, we will provide reasonable notice where practical and an appropriate remedy under the agreement and applicable law. Urgent security or legal restrictions may require immediate action.
14. Acceptable use
You must not use the Services to violate law or third-party rights; impersonate others deceptively; commit fraud; distribute malware; harass or exploit people; create or distribute unlawful sexual content or content involving sexual exploitation of minors; or access accounts, data or systems without authorization.
Do not send spam or communications without legally required consent, ignore opt-outs, evade provider anti-abuse rules, or use the Services for unlawful surveillance or profiling. Do not bypass approval gates, access restrictions, billing controls, safety measures or rate limits; extract secrets or another customer’s information; or interfere with service availability.
Do not infringe intellectual property, remove required license notices, misrepresent AI-generated statements as verified facts, or sell access to someone else’s account. Reverse engineering restrictions apply only to the extent permitted by law and do not restrict rights in your own exported code or lawful interoperability activity.
Good-faith research expressly authorized by a published Bitsbase vulnerability disclosure policy is governed by that policy. Nothing here restricts lawful reporting to regulators or other legally protected activity.
15. Privacy, organizational processing and confidentiality
We handle personal information as described in the Privacy Policy and applicable processing agreements. We do not use Customer Content to train AI models, on Free or paid plans, and require the same no-training treatment from AI providers processing it on our behalf. No general content license or feedback clause overrides that commitment.
An organization must establish the lawful basis, notices, permissions and instructions required for the personal data it uploads or connects. Where a data-processing agreement or international-transfer arrangement is legally required, it must be in place before the relevant processing. These Terms and the Privacy Policy are not, by themselves, a completed Article 28 processing agreement, a transfer mechanism or a HIPAA business associate agreement.
Nonpublic Customer Content is not licensed for public disclosure. We may disclose it only as needed for permitted service processing, your instructions, authorized support, legal compliance and the other limited purposes described in the Privacy Policy. Obligations under a separately signed confidentiality or data-processing agreement also apply.
Suggestions about improving the product may be used without compensation. That permission does not give us ownership of your Customer Content, authorize a public testimonial or customer-logo use, or allow training on confidential information embedded in feedback.
16. Suspension, termination and data after closure
You may stop using the Services or request account closure. To stop paid renewals without closing your account, use the cancellation methods in Section 12. We may restrict, suspend or terminate access for a material breach, unlawful activity, nonpayment, a security risk or a binding legal requirement. We will give notice and a reasonable opportunity to resolve an issue where feasible; immediate action may be necessary to protect people, data or the service.
For an overdue payment, we may restrict paid features or publishing after notice and a reasonable opportunity to correct it, unless urgent circumstances require otherwise. Suspension of a workspace can affect its published apps and routines. You remain responsible for notifying your app users and managing external subscriptions.
If we end a prepaid subscription for convenience without your breach, we will refund the unused prepaid subscription portion. Other refunds are governed by Section 12 and mandatory law. You remain liable for properly authorized charges already incurred.
Where technically feasible and lawful, we will provide a reasonable opportunity to export your own code and data before ordinary closure. Access may be restricted immediately for security or legal reasons. Retention and deletion follow the Privacy Policy, applicable law, provider requirements and any processing agreement; closure is not a promise of instant deletion from every backup or third party. Content-ownership, accrued-payment, privacy, liability and dispute provisions survive as appropriate to their purpose.
17. Copyright and other complaints
Send intellectual-property or other legal complaints to hello@bitsbase.com with “Legal notice” in the subject. Identify the material, its location, your rights and contact details, and enough information to investigate. Do not send unnecessary sensitive information. We may remove or restrict material where justified and may act against repeat infringement in appropriate circumstances.
We handle valid statutory notices and counter-notices in accordance with applicable law. Nothing in these Terms prevents you from using a statutory notice process or challenging an incorrect removal.
18. Warranties and consumer protections
To the extent permitted by law and except for express commitments in an applicable agreement, the Services and AI outputs are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose and noninfringement to the extent they may lawfully be disclaimed. We do not guarantee uninterrupted service, error-free output, commercial success or a particular amount of time saved.
Nothing in these Terms excludes a nonwaivable consumer guarantee or a duty we cannot lawfully disclaim. Consumers may have rights concerning reasonable care and skill, conformity, remedies for defective services, cancellation and refunds. A requirement that you review AI output does not eliminate those rights.
19. Limits of liability
Business customers. To the extent permitted by law, neither party is liable under these Terms for indirect or consequential loss, lost profits or business opportunities arising from the Services. Subject to the exceptions below, Bitsbase’s aggregate liability relating to the Services is limited to the greater of US$100 or the fees you paid or owed for the affected Services during the 12 months before the event giving rise to the claim.
Consumers. The business-specific cap and business-loss exclusions above do not apply to you when using the Services as a consumer for personal purposes. Our liability is governed by applicable consumer law, and we are not responsible for losses that the law does not attribute to us. We do not exclude remedies that the law makes mandatory.
No exclusion or cap limits liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. Statutory privacy remedies remain available to the extent they cannot be excluded. A signed enterprise agreement may specify different liability terms.
20. Business-customer indemnity
If you use the Services for business, you will defend us against a third-party claim arising from your unlawful Input, your violation of third-party rights or your material breach of these Terms, and pay the resulting damages and reasonable costs finally awarded or agreed in an approved settlement, to the extent caused by that conduct. This obligation does not cover a claim to the extent caused by our own breach, negligence or misconduct, and it does not apply to consumers.
We must promptly notify you, provide reasonable cooperation at your expense and allow you to control the defense with qualified counsel. You may not settle a claim in a way that admits fault by us, imposes nonmonetary obligations on us or fails to release us without our written consent, which will not be unreasonably withheld.
21. Governing law and disputes
Delaware law governs these Terms, without applying conflict-of-law rules, except that mandatory protections of your place of residence remain available where applicable. For disputes not subject to mandatory local jurisdiction, the parties submit to the state and federal courts in Delaware. Consumers may bring proceedings in their local courts where applicable law provides that right.
We encourage contacting hello@bitsbase.com to resolve a concern, but this is not a mandatory delay, limitation-period extension or restriction on urgent relief, small-claims proceedings or regulatory complaints. These Terms do not impose mandatory arbitration, a class-action waiver or a waiver of a nonwaivable jury-trial right.
22. Changes and general provisions
We will notify account holders by email of material changes to these Terms and state when they take effect. Changes apply prospectively. We will obtain affirmative consent where required and provide any legally required right to cancel. Material price or renewal changes must also comply with the disclosures in Section 12. We will not apply a new dispute term retroactively to an existing dispute without the required agreement.
These Terms and any applicable signed agreement are the agreement concerning their subject matter. They do not displace mandatory law or a specific commitment we are legally required to honor. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver.
You may not assign an account or this agreement without our consent except where law permits. We may assign the agreement as part of a legitimate corporate transaction, subject to applicable privacy restrictions and without reducing mandatory consumer rights. Neither party is responsible for a delay caused by circumstances beyond its reasonable control to the extent permitted by law; this does not excuse payment for work properly supplied, required refunds or nonwaivable duties.
